Terms and Conditions
1. Introduction
1.1 Foodstreet offers an online restaurant booking facility, a meal bidding facility and food delivery service ("the Services"). “Foodstreet” is a trading name of Foodstreet (Scotland) Limited, a company registered in Scotland (Company No. SC375482) and with its registered office at 500 Corselet Rd, Glasgow, G53 7RN.
1.2 These Terms and Conditions apply where you (“the User” or “You”) choose to register on the website (“the Site”) and to any subsequent use of the Servicess. Please read these Terms and Conditions carefully before registering on the Site. By clicking "Accept" to register You will be deemed to have consented to these Terms and Conditions. If You do not agree to these Terms and Conditions, then You should not register or use the Servicess.
1.2 These Terms and Conditions shall apply together with the Website Terms and Conditions and the Privacy Policy, which together will govern Your use of the Site. They supersede any written or oral representations, statements, understandings or agreements
1.4 From time to time, it will be necessary to update these Terms and Conditions and You agree to be bound by the new terms and conditions after the implementation date for the revised Terms and Conditions.
2. Services provision
2.1 Foodstreet provides an Internet site allowing registered users to use the Services. Foodstreet acts only as agent for a series of Disclosed Principals, who are the restaurant owners and other providers of goods or services. We are not involved in the actual transaction between the parties and assume no control or liability over any issues that may arise as a result of such transaction. Accordingly You hereby release and hold harmless Foodstreet (including all officers, employees, parent companies, contractors, suppliers, or agents) from any and all types of damages or claims resulting from any such issues.
2.2 Foodstreet will provide an order acknowledgement for all orders placed but reserves the right to accept or reject any Order at its sole discretion.
2.3 Foodstreet will use all reasonable endeavours to provide the Services as described on the Website.
2.4 Foodstreet may at any time amend the Services for any reason including, but not limited to, technical, legal or business reasons.
3. Registration and Legal Capacity
3.1 You agree that the information that you provide to us on registration and at all other times will be true, accurate, current and complete and you agree that You will ensure it is kept accurate and up to date at all times.
3.2 We may refuse to accept your application to register as a Member of the Site for any reason at our absolute discretion.
3.3 To register as a User of the Site You must be at least 18 years old. In entering into this Agreement you are giving us your express assurance that You are at least 18 years of age. If We discover or have any reason to suspect that You are not over 18 years of age, then We reserve Our right to suspend or terminate Your access to this Site immediately and without notice.
4. User Obligations
4.1 Orders made by You must be submitted electronically to the Site. No Agreement in respect of any Services shall exist between us and You until your Order has been accepted by us by means of an Order Confirmation (whether or not funds have been deducted from your account). If we do not accept Your offer and funds have already been deducted, these will be fully refunded.
4.2 The Agreement will relate only to those Services which we have confirmed in the Order Confirmation.
4.3 When placing an order for the first time, You will be required to register with us and complete certain required fields on an order form. This may include the provision of security information such as Your identification details and password(s). You agree that you will be responsible for ensuring that such security information is kept secure and confidential at all times. You must inform us immediately if You become aware of or suspect any unauthorised use of these security details or if they become available to an unauthorised party.
5. Payment
5.1. We accept payment in UK Pounds Sterling only.
5.2 Prices include delivery charges.
5.3 All payments are made by credit or debit card.
5.4 You confirm that the credit/debit card that is being used is Yours. All credit/debit cardholders are subject to validation checks and authorization by the card issuer. If the issuer of Your card refuses to authorise payment we will not accept your Order and we will not be liable for any delay or non- delivery and we are not obliged to inform you of the reason for the refusal. We are not responsible for Your card issuer or bank charging You as a result of our processing of Your credit/debit card payment in accordance with your Order.
5.5 You shall not be entitled by reason of any set-off, counter-claim, abatement, or other deduction to withhold payment of any amount due to Foodstreet.
6. Delivery, Title and Risk
6.1 The Food delivery service is available only in geographical areas notified on the Site. Completed Orders will be sent to the delivery address that You have given on your order form. We cannot be held responsible if that delivery address is incorrect or incomplete. Please note that we do not deliver to PO boxes.
6.2 Foodstreet shall bear no risk in respect of damage to or quality of deliveries.
6.3 Should Foodstreet a) not receive delivery instructions or b) be unable through no fault of Foodstreet to effect delivery or should You fail to take delivery, no refund is available.
7. Bidding Services
7.1 By placing a bid for a meal, You are stating that You have the ability and intention to purchase meal for the amount of Your bid, should You be the highest bidder when the auction ends. Foodstreet reserves the right to not accept bids below the minimum price set for the value of the meal on auction.
7.2 You will be notified by email within 24 hours and receive a voucher by post within 5 working days. Please note postal details must be provided by you to Foodstreet in order to fulfill this part of the Services.
7.3 Vouchers can only be redeemed on the days stated on the website.
7.4 You must bring the voucher to the restaurant; the restaurant has the right to refuse You services if the voucher is not presented at the time of redemption
7.5 Payment will be taken at the point Your bid is accepted and is non refundable.
7.6 The voucher will expire within 30 days of issue. It is Your responsibility to use the voucher within the timescales and conditions offered.
8. Termination
8.1 Foodstreet reserves the right to terminate the Services and/or Your use of the Services without notice.
8.2 With the exception of 48 hours notice required concerning cancelling the Table Bookings , due to the nature of all other services provided, no early termination by You is permissible.
9. Disclaimer and Limitation of Liability
9.1 Because Foodstreet acts only as agent for a series of Disclosed Principals who are the restaurants and other providers, we do not control the provision of any goods or Services purchased by you from these providers. When You purchase goods or Services from the relevant provider you will be contracting on the basis of the relevant provider’s terms and conditions, details of which are available direct from the relevant provider. In that regard, any decision relating to cancellation or returns will accordingly be in the hands of the relevant provider and will be in accordance with their terms and conditions of business. Foodstreet cannot therefore accept any responsibility or liability for any negligent act or omission by any provider contracting with you for the provision of their goods and Services nor will we be liable for any misrepresentation made by the relevant provider to you.
9.2 In no event shall Foodstreet be liable to You for any direct, consequential, incidental or special damage or loss of any kind (except personal injury or death resulting from Food street’s negligence) however caused and whether arising under contract or tort, including negligence or otherwise except as expressly provided herein. In particular, Foodstreet will accept no responsibility or liability for the acts or omissions of participating restaurants or other providers which all operate independently of Foodstreet.
9.2 If any exclusion, disclaimer or other provision contained in this Agreement is held to be invalid for any reason by a court of competent jurisdiction and Foodstreet becomes liable thereby for loss or damage that may lawfully be limited, such liability whether in contract, tort (including negligence but specifically excluding personal injury or death resulting from Food street’s negligence) or otherwise, will not exceed the total charges paid by You in the transaction giving rise to the loss or damage.
10. Force Majeure
10.1 Foodstreet shall not be liable to you or be deemed to be in breach of the Agreement by reason of delay in performing, or any failure to perform, any of our obligations in relation to the Services, if the delay or failure was beyond our reasonable control. Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond our reasonable control:act of god, explosion, flood, tempest, fire or accident; weather.
10.1.1 war or threat of war, sabotage, pandemic flu or virus, insurrection, civil disturbance or requisition;
10.1.2 acts, restrictions, regulations, bye-laws, prohibitions or measures or any kind on the part of any governmental, parliamentary or local authority;
10.1.3 import or export regulations or embargoes;
10.1.4 strikes, lock-outs or other industrial actions, power cuts or trade disputes (whether involving our employees or of a third party); or
10.1.5 difficulties in obtaining the System, labour, fuel, parts or machinery.
10.1.6 technical problems, external circumstances preventing suppliers delivering against deadlines or preventing delivery of 3rd party against agreed commitments including delivery, postal delivery Servicess, email, availability of Services.

12. General
12.1 Failure or delay by Foodstreet in enforcing any term of the Agreement shall not be construed as a waiver of any of its rights under it.
12.2 The illegality, invalidity or unenforceability of any part of this Agreement will not affect the legality, validity or enforceability of the remainder.
12.3 We shall be entitled to subcontract, assign or transfer our obligations or rights to a competent third party or to any associated company whether in whole or in part. You may not assign or transfer any of your rights or obligations without our written consent.
12.4 The construction, validity and performance of this Agreement shall be governed and construed in accordance with the laws of Scotland and the parties hereby submit to the non-exclusive jurisdiction of the Scottish courts.
